Exhibit VIII : By-Laws of The Overseas Village Homeowners' Association

ARTICLE I

IDENTITY

A. Scope. The By-Laws shall govern the operation of The Overseas Village Homeowners' Association, Inc. ("the Association"), a Florida not-for-profit corporation, organized and existing under the laws of the State of Florida for the purpose of administering the planned residential community to be known as The Overseas Village which will be located on land described in the Declaration of Protective Covenants and Restrictions for The Overseas Village ("The Declaration").

B. Definitions. All terms used herein which are defined in The Declaration shall be used herein with the same meanings as in The Declaration. Residential Units are referred to herein as "Units".

C. Principal Office. The principal office of the Association shall be at such place as may be subsequently designated by the Board of Directors of the Association.

D. Seal. The seal of the Association shall bear the name of the Association, the word "Florida", the words "Corporation not for profit," and the year of incorporation.
